Please read these Terms and Conditions carefully. These Terms govern your use of and access to AI Skool of Business (hosted on Skool), riseandshinebiz.com and its sub-domains and affiliated sites, all digital products, free resources, and interactive tools, as well as Rise & Shine Consulting, LLC (“we,” “our,” or “us”) pages and accounts on Facebook, Instagram, LinkedIn, and any other platforms (collectively, the “Sites” and “Services”).

By using any of the Sites or Services, joining the community, purchasing a membership, downloading a free resource, or using any tool, you accept and agree to be bound by these Terms. If you do not agree, you must stop using the Sites and Services immediately.

We may modify these Terms from time to time. All changes will be reflected in the date at the top of this document. Your continued use of any Site or Service following changes means you accept and agree to the updated Terms.

1. About AI Skool of Business

AI Skool of Business is a paid membership community for entrepreneurs, coaches, course creators, and service providers who want to use AI in practical, profitable ways. It is founded and operated by Rise & Shine Consulting, LLC. The community is hosted on the Skool platform at skool.com/ai-skool-of-business.

The Sites and Services are intended for use by persons who are a minimum of 18 years old. We do not guarantee the availability of any Site or Service and reserve the right to withdraw, suspend, or modify content at any time for any reason.

2. Free Trial

New members receive a 7-day free trial with full access to all classrooms, bots, community features, and live call recordings from day one. At the end of the trial, you choose a paid tier to continue. If you do not select a paid plan, your access ends automatically.

3. Membership and Billing

Membership is available as:

  • Standard: $39/month

  • Premium: $265/year

  • VIP: $777/year

Billing is processed automatically on your renewal date. By purchasing, you authorize recurring charges. Prices are subject to change with reasonable notice. Existing members on locked-in pricing are not affected by price increases as long as their membership remains active and continuous. If you cancel and rejoin, you will be charged the current rate at the time of rejoining.

All prices are listed in USD and do not include applicable taxes. You are responsible for any taxes associated with your purchase.

You are responsible for keeping your billing information current, complete, and accurate. If payment is not received, we reserve the right to suspend access until the account is current.

4. Cancellation and Refunds

You may cancel your membership at any time. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial billing periods. Annual memberships (Premium and VIP) are non-refundable after 7 days from the date of purchase. To cancel, use your account settings on Skool or contact hi@riseandshinebiz.com.

5. Access and Use

Membership grants you personal, non-transferable access to AI Skool of Business resources, classrooms, bots, live calls, recordings, and community features. You may not share your login credentials, reproduce, resell, or distribute any content from inside the membership. All resources, bots, templates, workshops, and tools are for your personal business use only. We reserve the right to update, add, or remove resources from the community at any time.

6. Digital Products, Free Resources, and Interactive Tools

In addition to the paid membership, we offer digital products, free resources, lead magnets, and interactive tools (such as assessments, guides, and workshops) hosted on external platforms including but not limited to Netlify, Flodesk, and riseandshinebiz.com. By accessing or downloading any of these resources, you agree to the following:

  • All digital products, tools, and free resources are the intellectual property of Rise & Shine Consulting, LLC. You may use them for your own personal or business purposes, but you may not reproduce, redistribute, resell, or claim them as your own.

  • Free resources and tools are provided “as is” without warranty of any kind. We do our best to keep everything accurate and up to date, but we make no guarantees about specific outcomes or results from using them.

  • Some free resources require an email address to access. By providing your email, you consent to receiving email communications from Rise & Shine Consulting, LLC. You can unsubscribe at any time.

  • Interactive tools (such as the AI Business Readiness Assessment or Lead Magnet Builder) are educational resources. The results, scores, and recommendations they generate are for informational purposes only and do not constitute professional advice.

  • Paid digital products are non-refundable after delivery, as they contain immediately accessible digital content.

We reserve the right to modify, update, or discontinue any digital product or free resource at any time without notice.

7. Workshops, Challenges, and Live Events

Workshop and event tickets (such as the Build-a-Bot Workshop or Amplified AI Challenge) are non-refundable after purchase. Replays are made available inside the community. Standalone workshop purchasers who are not members receive replay access for one year from the date of the event.

8. Custom GPTs and Bot Services

Custom GPTs built as part of VIP membership or purchased as add-on services are built to the specifications discussed during the build process. Revisions are included as outlined at the time of purchase. Custom GPTs remain your property to use in your business. The underlying architecture, frameworks, and proprietary methodologies used to build them remain the intellectual property of Rise & Shine Consulting, LLC.

9. Artificial Intelligence (AI) Disclaimer

We use AI technology throughout the Sites, Services, and related materials. This includes, but is not limited to, AI-generated content, AI-assisted tools, custom GPTs, and interactive assessments. While AI tools are used to supplement, enhance, and accelerate the creation of content and resources, all published content, opinions, strategies, and recommendations are reviewed, directed, and approved by Rise & Shine Consulting, LLC. We retain all copyright ownership of content on the Sites and Services.

By using the Sites and Services, you agree and acknowledge that we are not required to notify you each time AI technology is used. While we have made reasonable efforts to ensure the accuracy and usefulness of AI-assisted content, we expressly disclaim liability for any errors, omissions, or inaccuracies in content produced with the assistance of AI technology. Use of any AI-generated or AI-assisted content is at your own risk.

We reserve the right to modify or remove any AI-assisted content at any time without notice.

10. Community Standards

AI Skool of Business is an inclusive, respectful space for entrepreneurs at all stages. By joining, you agree to:

  • Treat all members, guests, and hosts with respect

  • Not engage in spam, harassment, unsolicited self-promotion, or harmful behavior

  • Not share other members’ personal information or private conversations outside the community

  • Keep conversations constructive and action-oriented

We reserve the right to remove any member who violates community standards, without refund.

11. Intellectual Property

Unless explicitly stated otherwise, Rise & Shine Consulting, LLC owns all rights, title, and interest in and to the Sites and Services, including without limitation all content, graphics, design, organization, compilation, classrooms, bots, frameworks, templates, recordings, workshops, tools, digital products, interactive assessments, and free resources.

The name Rise & Shine Consulting, all related names, product and service names, logos, slogans, and designs are trademarks of Rise & Shine Consulting, LLC. You may not use these marks without prior written permission.

Member-generated content (posts, shared builds, wins) remains the property of the member, with a license to AI Skool of Business to display it within the community. You may not reproduce, republish, or sell any AI Skool of Business content without written permission.

Duplicating, sharing, or uploading any content from the Sites or Services, including to any sharing or social media sites, is considered infringement of intellectual property rights and Rise & Shine Consulting, LLC will pursue such misconduct to the fullest extent permitted by law.

12. Copyright Infringement

We respect the intellectual property of others and ask that you do the same. If you believe that your work has been copied on any of the Sites in a way that constitutes copyright infringement, please contact us at hi@riseandshinebiz.com and provide the following:

  • Identification of what is claimed to have been infringed

  • Identification of what is claimed to be infringing

  • Your contact information

  • A statement that the complaint is made in good faith and that the use is not authorized by the owner, its agent, or the law

  • A statement that the information provided is accurate, under penalty of perjury

  • A physical or electronic signature of the person submitting the complaint


13. Third-Party Links and Affiliate Links

The Sites may contain links to third-party websites. These links are provided as a convenience and not as an endorsement of the contents on those sites. We expressly disclaim any responsibility for the content, accuracy, or practices of third-party websites. You agree that Rise & Shine Consulting, LLC shall not be liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

Any affiliate links on the Sites will be clearly marked. Where we are an affiliate, we may receive a commission. You will never be charged more because of an affiliate arrangement. If you have questions about affiliate links, please reach out to hi@riseandshinebiz.com.

14. Affiliate Program

AI Skool of Business offers a 50% lifetime affiliate commission through Skool’s built-in affiliate program. Affiliate payouts are subject to Skool’s terms and payout schedule. We reserve the right to modify or discontinue the affiliate program with reasonable notice.

15. Email Communications

By joining AI Skool of Business or downloading any free resource, you may be added to email communications from Rise & Shine Consulting, LLC. You can unsubscribe at any time using the unsubscribe link in any email.

16. Cookies

The Sites may utilize cookies — small files of letters and numbers that are automatically placed on your device to help provide a better user experience. Cookies do not typically include personally identifying information, but may be linked to personal information stored about you.

We may use cookies to retain user preferences, store information, and provide anonymized tracking data to third-party applications including Google Analytics and Meta (Facebook/Instagram). You may disable cookies in your browser at any time, but please note that disabling cookies may affect your ability to use certain features of the Sites.

17. Disclaimers and Representations

THE SITES AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. RISE & SHINE CONSULTING, LLC SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI SKOOL OF BUSINESS AND ALL ASSOCIATED PRODUCTS, TOOLS, AND RESOURCES ARE EDUCATIONAL IN NATURE. RESULTS VARY AND ARE NOT GUARANTEED. WE DO NOT GUARANTEE THAT YOU WILL GET ANY SPECIFIC RESULTS OR EARN ANY MONEY USING ANY OF OUR PRODUCTS, IDEAS, TOOLS, STRATEGIES, OR RECOMMENDATIONS. NOTHING ON OUR WEBSITES OR IN OUR PRODUCTS IS A PROMISE OR GUARANTEE OF FUTURE EARNINGS.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITES AND SERVICES IS AT YOUR SOLE RISK. YOU ARE FULLY RESPONSIBLE FOR YOUR PROGRESS AND RESULTS FROM YOUR PARTICIPATION. ANY TESTIMONIALS OR EXAMPLES OF RESULTS REPRESENTED IN OUR PRODUCTS, WEBSITES, OR CONTENT HAVE NOT BEEN SCIENTIFICALLY EVALUATED AND RESULTS EXPERIENCED BY INDIVIDUALS MAY VARY SIGNIFICANTLY.

Data communication via the internet cannot be guaranteed to be error-free or available at all times. We cannot guarantee constant and continuous availability of online systems.

18. Limitation of Liability

Nothing in these Terms will limit or exclude any liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any liabilities that may not be excluded under applicable law.

To the fullest extent permitted by law, Rise & Shine Consulting, LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Sites, Services, membership, digital products, tools, free resources, or any content within them.

You accept that you are solely responsible for your decision making. Rise & Shine Consulting, LLC shall not be liable for any results, whether direct or indirect, arising out of your participation in any product or service.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Rise & Shine Consulting, LLC from and against any and all liabilities, damages, claims, costs, and expenses (including reasonable attorney fees) arising out of or resulting from your breach of these Terms, your use of the Sites or Services, or your violation of any law or the rights of any third party.

20. Equitable Relief

You acknowledge and agree that in the event of a breach or threatened violation of Rise & Shine Consulting, LLC’s intellectual property rights or confidential and proprietary information, Rise & Shine Consulting, LLC will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce these Terms, without waiving any other remedies available at law or in equity.

21. Governing Law and Jurisdiction

The laws of the State of Florida govern all matters arising out of or relating to these Terms. Any disputes may be enforced in the Sixth Judicial Circuit Court, Pinellas County, Florida, with the prevailing party in any such dispute entitled to receive its reasonable attorney fees and costs incurred.

If any portion of these Terms is deemed to be illegal or unenforceable, the remaining provisions remain in full force and effect.

22. No Waiver

If we choose to waive one provision of these Terms, that does not mean any other provision is also waived. Any waiver must be in writing to be effective.

23. Entire Agreement

These Terms constitute the entire understanding and agreement between you and Rise & Shine Consulting, LLC with respect to the Sites and Services and supersede all prior understandings, agreements, or representations. These Terms may not be modified without express written consent.

24. Changes to These Terms

We may update these Terms at any time. Members will be notified of material changes via email or community announcement. Continued use of the Sites, Services, products, or tools after changes constitutes acceptance of the updated Terms.
